Constitution of IQSA

International Quantum Structures Association

ARTICLE 1. NAME

The name of this organization is "International Quantum Structures Association, Incorporated" and is abbreviated "IQSA".

ARTICLE 2. PURPOSE

IQSA is a non-profit scientific association whose purpose is to advance and disseminate the knowledge of quantum logics and structures based thereon, in the interest of its members and the public. Its sphere of activity includes but is not limited to the relevant mathematical, philosophical, physical and interdisciplinary aspects of convex structures, logico-algebraic structures, orthomodular structures, quantum logics, empirical logics, operational structures, realistic structures, quantum measurement, quantum geometry, quantum statistics, quantum probability, quantum topology, quantum space time, quantum set theory, quantum information, quantum communication, quantum computation, fuzzy quantum logics.

ARTICLE 3. MEMBERSHIP

3.1 Exclusive Powers

The membership is the supreme authority of IQSA, sets IQSA policy, has the ultimate responsibility for the actions of IQSA, and has exclusive power to

• adopt, amend or modify the present Constitution, or dissolve IQSA, by affirmative vote of two third of the Members present at the Assembly subject to confirmation by affirmative vote of two third of the ballots returned in a mail ballot. In the event of such dissolution, all remaining assets shall be contributed to the International Association for Mathematical Physics.
• make final decisions on all questions of membership, annual dues, and conditions of payment, and accept or reject the annual Budget and the annual Treasurer's Report, by resolution.
• elect the President, Secretary, Council and Nominating Committee.

3.2 Members

All technical competent persons and all juridical persons interested in the purposes of the IQSA as defined in ARTICLE 2 are eligible for Member. To become a candidate for Member, an individual shall mail to the Secretary

• an application form to be provided by the Secretary upon request and completed by the applicant
• evidence of competence, which may be an endorsement by a Member, and
• the first year's dues.

The candidate becomes a Member for one year upon favorable action by the Secretary. Unfavorable action may be appealed to the Council and then to the Membership. Any Member may at any time file resignation in writing with the Secretary. A Member may be dropped from the IQSA

• for nonpayment of dues after two reminders, or
• for seriously interfering with the purposes or functioning of the IQSA, by a motion of the Assembly after the member has an opportunity for hearing in the Assembly.

All rights of a Member in the property of IQSA terminate when the Member resigns, dies, or is dropped.

ARTICLE 4. ASSEMBLIES

4.1 Officers

The President of IQSA presides over the Assembly. The Secretary of IQSA is the Secretary of the Assembly.

4.2 Convening

IQSA convenes a regular Assembly as part of a regular Meeting of the IQSA every two years. The Council may convene extraordinary Assemblies at its discretion or upon request of at least one quarter of the Members with paid-up dues. Assemblies are convened by a written notice addressed to every Member at least four months before the Assembly. A written Preliminary Agenda, Treasurer's Report, and mail ballots are sent at least one month before the Assembly and they may be delivered electronically.

4.3 Resolutions

Motions for an Assembly submitted in writing to the Secretary at least three months before the Assembly are distributed as part of the Preliminary Agenda and are scheduled for vote at the Assembly. Members may vote on preliminary items by mail. Motions submitted less than three months before the Assembly are circulated by mail or at the Assembly and if feasible they are placed on the Agenda. There is no voting by proxy. At the request of at least one quarter of those present the adoption of a motion shall be submitted to a mail ballot in which all Members may vote. Each Member in good standing, individual or corporate, has one vote. A simple majority of votes suffices to pass a motion.

ARTICLE 5. OFFICERS

5.1 Positions

The IQSA has a President, a Vice-President, a Secretary, a Treasurer, an Editor, a Council, and a Nominating Committee.

5.2 Election

The President, Secretary, Council and Nominating Committee are elected by the Membership at large by a mail ballot in which each member is entitled to vote for one candidate for President, one for Secretary, six for Council, an two for Nominating Committee. The ballots are opened and counted at the Assembly. A candidate is elected as President or Secretary by receiving a plurality of the votes cast for that office. Candidates for Council or Nominating Committee are elected in the order of the number of votes that the receive, all ties being broken first by the Council and then if necessary be the President. Terms of elected office begin upon election and terminate at the election of a successor. A new President is elected at each regular Assembly and can serve as President for at most two consecutive terms. The retiring President becomes the new Vice-President and is not eligible for re-election as President for the next two terms after retiring from the Vice-Presidency. The Secretary is elected at each regular Assembly and is eligible for re-election. The Treasurer and Editor are appointed by the Council. The positions of Secretary, Treasurer and Editor may be combined at the discretion of the Council. The Editor serves until retired by the Council with 18 months advance notice.

5.3 Powers and duties

The President is the chief executive officer of IQSA and may

• exercise all powers which are not exclusively reserved by the Constitution for the Council or the Membership.
• authorize and review all public statements by IQSA. Any public statement by the President shall state clearly whether or not the statement has been adopted by the Council or by the Membership.
• decide tied votes of the Council or the Nominating Committee.

The Vice-President shall act for the President whenever the President cannot act or so requests.

The Secretary shall

• maintain the records of IQSA, including membership lists and minutes of all Assemblies and committees of IQSA.
• make arrangements for Assemblies and Meetings of IQSA and the Council.
• notify Members of Assemblies and meetings of IQSA or of the Council, of changes in the Bylaws, of dues, and of other matters pertinent to the business of IQSA.
• notify members of the Executive Committee of its meetings.
• have any additional powers and duties specified by the resolution of the Council subject to review by the Meeting.
• receive notices for IQSA at his or her regular address, which are then considered to be duly served upon IQSA.

The Treasurer shall

• be responsible for the conduct of the financial affairs of IQSA.
• prepare a budget and an annual report of expenses, income, and financial conditions of IQSA for review by the Council and circulate with the Preliminary Agenda of each regular assembly.
• receive, expend, and invest funds of IQSA as authorized by the Council.

The Editor

• has responsibility for the research publications of IQSA.
• may be authorized by the Council, when it finds this action to be appropriate, to negotiate and contract with a suitable publisher of a journal of IQSA. Upon replacement of an Editor, the new Editor may negogiate with other suitable publishers of any journal of IQSA.

ARTICLE 6. EXECUTIVE COMMITTEE

The President, Vice-President and the Secretary constitute the Executive Committee of IQSA and administer IQSA subject to the authority and discretion of the Council and the Membership. The Executive Committee shall submit regular written reports on its actions as such to the Council and Membership, and special written reports at its discretion or when requested by the Council or Membership. The Executive Committee has the power to legally bind IQSA by the joint signatures of at least two members of the Executive Committee.

ARTICLE 7. COUNCIL

7.1 Composition

The IQSA Council consists of 12 Councillors serving overlapping terms from their election to the second regular Assembly thereafter, and the Executive Committee. A retiring Councillor shall not be eligible for re-election before the second regular Assembly following the one at which the Councillor retired. Vacancies due to other reasons than regular retirement are filled at the next Assembly for the rest of the terms of the vacant office. Between Assemblies the Council may fill such vacancies on an interim basis.

7.2 Powers

The Council has the power to

• exercise all powers which are not explicitly reserved in this Constitution for any officer or the Members.
• act in circumstances unforeseen by the Constitution.
• appoint sub-committees and determine their functions.
• serve as official governing body of IQSA between Assemblies.
• establish and award prizes and awards of IQSA.
• enter into relationships with international scientific organizations.
• invite experts and delegates of any international scientific organizations to its Assemblies as nonvoting participants.

• delegate the power to sign on behalf of IQSA to an officer, who shall have the power to bind IQSA by his sole signature within the field of his authority.

   

ARTICLE 8. NOMINATING COMMITTEE

There is a Nominating Committee with four voting members serving overlapping terms from their election to the second regular Assembly thereafter. The officers of the Executive Committee are non-voting members of the Nominating Committee. The Nominating Committee nominates at least one candidate for every post that is up for election, including vacancies in the Nominating Committee, in a way that reasonably reflects the geographical distribution of the Membership. These nominations are communicated to the Members of the Society with the Preliminary Agenda for the Assembly. Nominations for any office in IQSA may also be made by any four or more IQSA Members residing in at least four different countries. Nominations sent to the Secretary at least three months before the Assembly are circulated with the Preliminary Agenda.

ARTICLE 9. BY-LAWS

By-laws of IQSA may be adopted, amended or rescinded by a resolution of the Membership. They must be submitted to the Membership as part of the Preliminary Agenda of the Assembly. The members of the Council may adopt, amend or rescind by-laws governing the Council's operations by a majority affirmative vote on a motion at a meeting of the Council following the one at which the motion is made. If any provision of this Constitution or any by-law conflicts with civil law, it shall be struck out and the rest of the Constitution and by-laws shall continue to hold.
